By accessing and using ViralNote ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

ViralNote is a platform that enables users to:

• Upload and store long-form content (videos, audio files, and related media)
• Create searchable clips and snippets from their content
• Use AI-powered tools to analyze and suggest optimal clips
• Search and organize their content library
• Share and distribute clips across various platforms

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Content

4.1 Content Ownership

You retain all ownership rights to the content you upload to ViralNote. By uploading content, you grant ViralNote a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display your content on the Service
• Use AI and machine learning technologies to analyze your content and generate clips
• Provide technical support and improve our services

4.2 Content Restrictions

You agree not to upload, post, or transmit any content that:

• Violates any applicable law or regulation
• Infringes upon the intellectual property rights of others
• Contains hate speech, harassment, or threats
• Is defamatory, obscene, or pornographic
• Contains malware, viruses, or other harmful code
• Violates the privacy or publicity rights of others

4.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or inappropriate. We may also suspend or terminate accounts that repeatedly violate these Terms.

5. Intellectual Property Rights

5.1 Service Ownership

The Service, including its original content, features, and functionality, is owned by ViralNote and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial use, subject to these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

6. Subscription and Payment

6.1 Subscription Plans

ViralNote offers various subscription plans with different features and usage limits. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page.

6.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

6.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

6.4 Price Changes

We reserve the right to modify subscription fees at any time. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes acceptance of the new pricing.

7. Free Trial

We may offer a free trial period for new users. The trial period and its terms will be clearly stated at the time of signup. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. You may only use one free trial per user.

8. Prohibited Uses

You agree not to use the Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To collect or track the personal information of others
• To spam, phish, pharm, pretext, spider, crawl, or scrape
• For any obscene or immoral purpose
• To interfere with or circumvent the security features of the Service

9. Service Availability

We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service unavailability.

10. Termination

10.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings. Upon termination, your access to the Service will cease immediately.

10.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and content
• You will not be entitled to any refund of fees paid

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRALNOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

13. Indemnification

You agree to defend, indemnify, and hold harmless ViralNote and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your content, or your violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ViralNote operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of that jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ViralNote regarding the use of the Service and supersede all prior agreements and understandings.
